Scope of the role: What specific areas are you advising on? The more specific, the better. "General business advice" is a recipe for misaligned expectations.
Time commitment: How many hours per month? What does a typical engagement look like — quarterly meetings, monthly calls, ad hoc availability?
Compensation: Equity percentage, vesting schedule, strike price, and the type of options (ideally EMI). If there's any cash component, that too.
Confidentiality: Standard obligations around not sharing company information with third parties.
Termination: How much notice is needed from either side? What happens to vested and unvested options on termination?
IP ownership: This one matters. The agreement should be clear that any general advice you give does not constitute a transfer of intellectual property to the company. You are advising; you are not building.
